Definitions of organization types listed

Foreign Profit Corporation: An out-of-state corporation, expressly developed for the purpose of earning a profit, that is transacting business in Texas who has filed an application for registration with the Texas Secretary of State in accordance with Chapter 9 of the Texas Business Organizations Code.

Foreign Limited Liability Company: An out-of-state limited liability company that is transacting business in Texas who has filed an application for registration with the Texas Secretary of State in accordance with Chapter 9 of the Texas Business Organizations Code.

Foreign Non-Profit Corporation: An out-of-state nonprofit corporation that is conducting its affairs in Texas who has filed an application for registration with the Texas Secretary of State. The Secretary of State provides the application for registration. The income is not distributable to members, directors, or officers. A nonprofit corporation may be created for any lawful purposes.

Foreign Professional Corporation: is defined as an out-of-state foreign corporation organized for the sole and specific purpose of rendering a professional service in Texas who has registered with the Texas Secretary of State. “Professional service” is defined as any type of personal service that requires obtaining a license in Texas.
