Definitions of organization types listed

Texas Professional Association: Created by filing a certificate of formation with the Texas Secretary of State in accordance with Chapter 302 of the Texas Business Organizations Code. Examples of these types of organizations are individuals licensed as doctors of medicine, osteopathy, podiatry, licensed mental health professionals.

Texas Limited Liability Company: Created by filing a certificate of formation with the Texas Secretary of State in accordance with Chapter 101 of the Texas Business Organizations Code.

Texas Non-Profit Corporation: Created by filing a certificate of formation with the Texas Secretary of State in accordance with the Texas Nonprofit Corporation Act (Chapter 22 of the Texas Business Organizations Code). A corporation where the income is not distributable to members, directors, or officers. A nonprofit corporation may be created for any lawful purposes.

Texas Professional Corporation: A Texas professional corporation is created by filing a certificate of formation with the Texas Secretary of State in accordance with the Texas Professional Entities Law (Title 7 of the Texas Business Organizations Code). A corporation organized under the Act for the sole purpose of rendering a professional service. “Professional service” is defined as any type of personal service that requires the obtaining of a license in Texas.

Texas Profit Corporation: Created by filing a certificate of formation with the Texas Secretary of State in accordance with Chapter 3 of the Texas Business Organizations Code. A corporation expressly developed for the purpose of earning a profit.

Texas Limited Partnership: Created by filing a certificate of formation with the Texas Secretary of State. A Limited Partnership has one or more general partners and one or more limited partners. The limited partnership operates in accordance with a partnership agreement, written or oral, of the partners as to the affairs of the limited partnership and the conduct of its business.
